In
addition to offering standard incorporations we are capable of
providing the company with the following additional services all at a
set fee which is negotiated and known to the beneficial owners at the
time of incorporation:
Preparation of Company Books and Records
Pursuant to the requirements of the Companies Law we will prepare a minute book with the following documents:
1. Certificate of Incorporation 2. Certified copy of the Memorandum and Articles of Association 3. Registers of Directors, Shareholders, Mortgages or Charges and Property (if applicable) 4. Share Certificates for all Shareholders 5. Minutes for the First Meeting of Directors following incorporation 6. Share Transfer form(s) 7. Appointment of First Directors form(s) 8. Consent to Appointment of First Directors form(s) 9. Appointment of company bankers, attorneys and other advisors 10. If applicable, preparing corporate resolutions authorising the company to purchase or sell property
In
addition we will write to the Registrar of Companies advising of the
appointment of First Directors and pay the requisite filing fee.
Maintenance of Companies annually
We
can provide the registered office of the company, maintain all
corporate records, provide the corporate secretary if required, prepare
minutes of annual general and statutory meetings, file annual returns
and apply for the renewal of Trade and Business Licenses and Local
Companies (Control) Law Licences for a fixed annual fee.
In
the event that you provide the registered office for your own company
we can prepare and file your annual returns, Trade and Business License
and Local Companies (Control) Law Licence renewals, annual general
meetings etc for a fixed fee.
Annual Representation
BCSL
has obtained its Company Management Licence and for Cayman Islands
property holding clients who require Nominee Services, we can provide
Nominee Directorships and Nominee Shareholdings.
Payment of Corporate Fees and Disbursements including Strata Fees, Utility bills etc
Should
the company's beneficial owners and directors reside abroad we can retain funds in an escrow account with BCSL from which to pay monthly or quarterly strata fees, electricity
bills, telephone, water, sewage or other expenses incurred by the
company in either owning or leasing property in the Cayman
Islands. All bills from the various service providers can be
forwarded to us for settlement.
Bank Account Support Service
As local businesspersons with close ties to the financial community, we are able to recommend the local bankers most suitable to the type of business the company intends to conduct. We can assist the client with completion of the bank mandate forms, for providing introductory letter to Bank as the company’s registered office confirming the company’s corporate structure, for providing certified copies of all required corporate documents (not limited to but including certified copies of Certificate of Incorporation, Registers of Directors, Officers, Shareholders and Mortgages, Memorandum and Articles of Association).
Transfer of Title from corporate entity to corporate entity - no change in ultimate beneficial ownership
We can assist with the transfer of title from the name of one corporate entity to another. Our services would include but not be limited to requesting the land register for the property and preparing Transfers of Land for signature; preparing corporate resolutions authorising the transfer of the property; requesting permission from the Portfolio of Finance and Development on the abatement of stamp duty based on no change in the ultimate beneficial ownership of company; registering Transfers of Land and new land register; updating Register of Property on company’s Minute Book.
Transfer Of Title from personal name to corporate entity (or vice versa) - no change in ultimate beneficial ownership
We can also assist in the transfer of title of Cayman Islands property held in the name of the company into that of the beneficial owner(s) (or vice versa); requesting land register for the property and preparing Transfers of Land; preparing corporate resolutions authorising the transfer of the property; requesting permission from the Portfolio of Finance and Development on the abatement of stamp duty based on no change in the ultimate beneficial ownership of property; registering Transfers of Land and obtaining new land register; updating Register of Property on company’s Minute Book.
